Greencart+ Subscription Agreement

This Subscription Agreement ("Agreement") is entered into by and between Linfa Inc., a Delaware corporation with its principal address at 850 New Burton Road, Suite 201, Dover, Delaware 19904, United States ("Company", "we", "us", or "our"), and the individual or entity agreeing to these terms ("Subscriber", "you", or "your").
By subscribing to the Greencart+ plan, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
1. Definitions
- "Services" means access to the Greencart+ subscription plan and all associated features.
- "Platform" means the Greencart website, applications, APIs, and related software controlled by the Company.
- "Rewards Program" means the promotional reward system offered by the Company, including crypto rewards, multipliers, points, and affiliate rewards.
- "Crypto Rewards" means cryptocurrency granted by the Company for eligible user activity, as promotional rewards.
- "Kapok" means the AI shopping assistant available in the Greencart app, described in Section 4.
- "Connected Account" means the Amazon account you connect to Kapok.
2. Subscription Plans, Fees, and Payment
2.1 Plans & Pricing
Greencart+ is offered under the following pricing:
- Monthly Plan: USD $7.99, 4.99$ for the first 2 months
- Yearly Plan: USD $79.99
No free trial is offered.
2.2 Automatic Renewal
The subscription automatically renews unless canceled at least 24 hours before the end of the billing cycle. You authorize the Company or its payment providers to automatically process renewal charges.
2.3 Payment Providers
Payments are processed through RevenueCat and Stripe. Subscriber agrees to comply with all terms imposed by these third-party payment processors.
3. Subscription Benefits
During an active subscription period, Subscribers receive:
- 3× rewards on eligible receipts
- 2× rewards in affiliate marketing
- 2× affiliate reward cap
- Priority support
- Access to Kapok, the AI shopping assistant (beta), within the monthly usage allowance of your plan (Section 4)
The Company may update, modify, or improve the Services at any time, provided such changes do not materially reduce the primary benefits during the paid period.
4. Kapok, the AI Shopping Assistant (Beta)
4.1 What Kapok Does
Kapok is an AI shopping assistant offered in beta to Subscribers on a paid plan (Greencart+ Plus or Max). At your request, written or dictated, it can search and compare products on Amazon, prepare purchases that you confirm, read your Amazon orders and account pages, carry out actions you ask for on your orders and your Amazon account, fill your Amazon Fresh basket and place the Fresh order you confirm, and redeem Amazon gift card codes you provide. Kapok currently works only with the Amazon stores supported in the app. Its features may change, be limited or be withdrawn during the beta.
4.2 Monthly Usage Allowance
Use of Kapok counts against a monthly usage allowance included in your plan and shown in the app as a percentage. The allowance resets on the first day of each calendar month (UTC), does not carry over and has no cash value. When it is used up, new searches, reads and actions are paused until it resets or you change plan; an order already under way can still be confirmed or cancelled.
4.3 Connecting Your Amazon Account
To buy or act on your account, you connect your Amazon account in the app by entering your Amazon credentials. They are used for that sign-in only and your password is not stored. We keep the resulting signed-in browser session (cookies and site data) with our browser infrastructure provider so that Kapok can act for you later, together with a masked form of your login. Verification codes and sign-in approvals are handled only in the app's own secure screen, never in the chat. You can disconnect your account at any time in the app, which deletes the stored session.
4.4 Your Authorization
By connecting your account you authorize the Company to access and operate your Connected Account through Kapok, within these terms:
- Purchases. Kapok never places an order on its own. An order is prepared up to Amazon's order review, using the delivery address and payment method selected in your Amazon account, and is placed only after you confirm it in the app. The total is checked again before the order is placed. Orders are limited in quantity and value (currently up to 5 units per item and an order total of up to 500 in the store's currency, or 80,000 on Amazon.co.jp and 5,000 on Amazon.se). Kapok does not add Prime, protection plans, subscriptions or coupons to a purchase.
- Amazon Fresh. Kapok may add items to or remove items from your Amazon Fresh basket. It places a Fresh order only after you choose the delivery window and confirm the order in the app, and it checks that the total and delivery window are unchanged before placing it.
- Actions on your orders and account. When you ask Kapok to cancel, return, replace, change the delivery of or archive an order, change the payment of an order to another payment method already saved in your account or to your gift card balance, add, change or remove a delivery address, or manage your lists, Subscribe & Save deliveries or communication preferences, your request is your authorization, and Kapok confirms Amazon's own dialogs to complete it. When Amazon asks for a choice only you can make, Kapok asks you first.
- Gift cards. Kapok redeems the Amazon gift card codes you give it into your Amazon gift card balance.
- Reading your account. Kapok reads your Amazon orders and account pages to answer your questions, and the Company periodically reads the status of orders placed through Kapok to verify delivery for rewards (Section 8.7).
Kapok never enters or adds a payment card, never changes your password, sign-in or security settings, never enters your Amazon credentials or verification codes on its own, does not solve CAPTCHAs and does not close your account. You are responsible for the orders you confirm and the actions you request.
4.5 Amazon Is a Third Party
Amazon is not affiliated with the Company and does not endorse Kapok. Each purchase is a contract between you and Amazon or the relevant seller, governed by their terms; prices, availability, delivery, returns, refunds and warranties are the responsibility of Amazon or the seller. Your use of Amazon through Kapok remains subject to Amazon's conditions of use, and Amazon may limit or block assisted or automated access, or your account. The Company is not responsible for such decisions. As an Amazon Associate, the Company earns from qualifying purchases, including purchases made through Kapok.
4.6 Search Results and AI Output
Kapok shows Amazon's own search results, in Amazon's order, and may apply Amazon's own filters (such as size, colour, brand or budget) to your request. It does not verify that a listing matches your request, and listings that cannot be bought through Kapok (for example out of stock or sold only through Amazon Fresh) may be left out. Product information, prices and availability come from Amazon and may change; the price that applies is the one on the order review you confirm. Kapok's replies are generated by AI and may be inaccurate or incomplete: check the product and the order review before you confirm.
4.7 Notes and Conversations
Kapok may keep short notes about you, such as your sizes, preferred brands or products you want to avoid, to personalise its help. It does not keep card, account, identity, document or phone numbers, IBANs, email addresses, passwords, PINs, verification or gift card codes or street addresses. You can ask Kapok what it remembers, delete notes or pause them at any time. Conversations, dictated messages and notes are processed as described in the Privacy Policy.
4.8 Service Providers
Kapok relies on third-party AI and infrastructure providers to process your requests, including OpenAI, Google (Gemini, Google Cloud and Firebase), TypeSafe, Browserbase and Privy.
4.9 Beta Availability
Kapok is provided in beta, "as is" and "as available". It may be unavailable, stop before a task is finished, or ask you to complete a step yourself, such as entering a verification code in the app or finishing an action on Amazon. The Company may suspend or end Kapok, or your access to it, at any time, including to comply with Amazon's requirements.
5. No Refunds
5.1 General Rule
All subscription fees are non-refundable.
5.2 Minimum Usage Rule
If the Subscriber has uploaded at least one (1) receipt within the billing period, no refund may be requested.
5.3 Refund Requests
Any refund request must be submitted in writing to the Company's designated support email. The Company retains full discretion to approve or deny requests.
5.4 Continued Access After Cancellation
Upon cancellation, Subscribers maintain access to Greencart+ until the end of the paid period.
No prorated refunds will be issued.
6. Subscriber Obligations
Subscribers agree to:
- Use the Services only for lawful purposes
- Provide accurate information
- Not engage in fraud, abuse, or manipulation of the reward system
- Follow all Platform rules
Subscribers are solely responsible for activity on their accounts.
7. Termination
7.1 Termination by Subscriber
You may cancel your subscription at any time through the Platform or associated app store.
7.2 Termination by the Company
The Company may terminate or suspend a subscription immediately and without refund if the Subscriber:
- engages in fraud or attempts to manipulate rewards,
- violates this Agreement or Platform rules,
- harms or attempts to harm the Platform, other users, or the Company,
- submits false, misleading, or fabricated receipts or data.
7.3 Effect of Termination
If terminated for cause, access to subscription benefits ends immediately and no refund will be provided.
8. Rewards Program
8.1 Nature of Rewards
Crypto rewards and all other rewards are issued solely as promotional rewards for eligible user activity.
Rewards are not:
- wages,
- financial compensation,
- investment returns,
- payment for services,
- legal consideration.
8.2 No Guarantee of Value
Any cryptocurrency, reward points, multipliers, or affiliate rewards granted through the Platform:
- have no guaranteed value,
- may fluctuate in price,
- may lose all value,
- are not financial instruments, securities, or investment products.
The Company makes no representations about the present or future value of any reward.
8.3 No Financial or Investment Services
The Company does not:
- provide financial advice,
- act as a custodian, broker-dealer, exchange, or money transmitter,
- facilitate investment activity,
- provide portfolio management.
Crypto rewards are delivered on an "as is" basis and depend on external blockchain networks not controlled by the Company.
8.4 Blockchain Risk & Network Fees
Subscribers accept all risks connected to blockchain use, including:
- network congestion,
- transaction fees (gas),
- failed transactions,
- technical incompatibilities,
- wallet issues,
- irreversible transfers.
The Company is not responsible for lost keys, inaccessible wallets, or network failures.
8.5 Taxes
Subscribers are solely responsible for determining, reporting, and paying:
- income taxes,
- capital gains taxes,
- any other applicable taxes related to crypto rewards.
The Company does not issue tax guidance or documentation.
8.6 Program Changes
The Company may, at its sole discretion:
- modify reward amounts,
- adjust or remove multipliers,
- set or change caps,
- restrict eligibility,
- discontinue or replace the rewards program.
Subscribers have no vested rights to future rewards.
8.7 Rewards on Purchases Through Kapok
Eligible orders placed through Kapok, including Amazon Fresh orders, may earn Crypto Rewards based on the order value. A reward is credited only after the order is verified as delivered, which the Company checks by reading the order in your Connected Account for up to 60 days after it is placed; cancelled, returned, refunded or undelivered orders earn nothing. Gift card and balance top-up orders are not eligible. Daily, weekly and per-order limits apply, and orders beyond them may be reviewed or not rewarded. Current amounts and conditions are shown in the app and may change under Section 8.6.
9. Data Processing & Privacy
Use of the Services is governed by the Company's Privacy Policy, which describes the processing of:
- uploaded receipts and images,
- location data,
- IP addresses,
- device identifiers,
- rewards-related data,
- your conversations with Kapok, including dictated messages, and the notes it keeps,
- your Connected Account session, and the Amazon orders and pages read on your behalf.
Subscribers agree to all data practices described in the Privacy Policy.
10. Disclaimer of Warranties
THE SERVICES, REWARDS PROGRAM, AND CRYPTO REWARDS ARE PROVIDED "AS IS" AND "AS AVAILABLE."
THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- merchantability,
- fitness for a particular purpose,
- non-infringement,
- accuracy of reward calculations,
- uninterrupted service,
- availability of blockchain networks.
11. Limitation of Liability
11.1 Maximum Liability
To the fullest extent allowed by law, the Company's total liability for any claim is limited to the total subscription fees paid by the Subscriber during the preceding twelve (12) months.
11.2 Exclusion of Damages
The Company is not liable for:
- indirect or consequential damages,
- lost profits,
- loss of data,
- loss of rewards or crypto,
- failures of blockchain networks,
- service interruptions,
- corruption or loss of receipts or files,
- acts or omissions of Amazon or of sellers, including prices, availability, deliveries, returns and refunds,
- restrictions Amazon places on your account or on access through Kapok,
- orders you confirm or actions you request through Kapok.
These exclusions apply even if the Company has been advised of such risks.
12. Indemnification
Subscriber agrees to indemnify and hold harmless the Company and its officers, employees, and affiliates from any claims arising from:
- misuse of the Platform,
- breach of this Agreement,
- violations of law,
- disputes involving crypto rewards,
- fraudulent activities.
13. Changes to Terms
The Company may update this Agreement from time to time. Continued use of the Services after the effective date of an update constitutes acceptance of the updated Agreement.
14. Governing Law & Dispute Resolution
14.1 Governing Law
This Agreement is governed exclusively by the laws of the United States and the State of Delaware.
14.2 Venue
All disputes must be brought exclusively in the state or federal courts located in Delaware, USA, and the Subscriber consents to their jurisdiction.
15. Entire Agreement
This Agreement, together with the Privacy Policy and any supplemental terms referenced herein, forms the entire agreement between the parties.
